Temenos Acquires additiv to Accelerate Wealth Management Push, Cuts Implementation Cycles from 12 Months to 3-6 Months
M&A Conference Call, June 8, 2026
Temenos has acquired Swiss wealth orchestration platform additiv in a cash-and-equity deal that fundamentally accelerates its product roadmap in the fast-growing mass affluent segment while adding state-of-the-art AI capabilities across its banking platform. The acquisition addresses a clear gap in Temenos's offering and brings immediate revenue synergies across a combined customer base that includes some of the world's leading wealth managers.
The most striking aspect of the deal is additiv's ability to compress implementation cycles from 12 months or more down to just 3 to 6 months, a significant advantage in a market where speed to market determines competitive positioning. CEO Panagiotis Spiliopoulos emphasized that this "is only possible because of additiv's deep domain expertise and knowledge of wealth and other financial services workflows they have built into their orchestration platform."
Plugging the Mass Affluent Gap
Temenos has historically been strong in ultra-high net worth and high net worth segments, which currently represent roughly 10 percent of group revenues when combining wealth front and back-end systems within the core banking business that makes up 80 to 85 percent of the company. The mass affluent segment, however, has been a glaring omission, particularly problematic given its explosive growth in emerging markets where digital offerings are critical to capturing demand.
Spiliopoulos noted that wealth represents a "major focus area, given a number of structural factors driving the market" including generational wealth transfer changing demand for innovative and personalized digital services. The mass affluent opportunity is "structurally underserved" and additiv "enables us to evolve from product-centric delivery towards an end-to-end wealth offering in the mass affluent space."
The platform's applicability extends well beyond wealth management. Spiliopoulos explained that additiv "gives us a strong foundation to expand into adjacent areas such as complex retail and corporate journeys, in particular for credit origination and accelerates our ability to offer a state-of-the-art digital onboarding and origination solution to our client base." The same orchestration principles can be applied to all complex end-to-end customer journeys, aligning distribution, risk and fulfillment through an integrated layer.
Impressive Customer Metrics Signal Quality Asset
Additiv brings 200 employees across 10 locations and 30 customers to Temenos, with an international footprint spanning Europe, the Middle East and Asia Pacific that Temenos will expand into the US through its go-to-market organization. The company's net retention rate of 138 percent stands well above industry averages, driven by customers adding more volume, more accounts, more assets, more products, and critically, more use cases over time. A customer might start with a robo-advisor and then add mortgage origination, creating expansion across three dimensions.
Equally impressive is additiv's Net Promoter Score of 90, which Spiliopoulos said he has "never seen in the industry." The high NPS and retention metrics underscore both platform quality and the strength of customer relationships. Revenue concentration exists given the company's size, with a "significant majority" generated in the DACH region and Europe, though this should evolve as Temenos sells additiv into its broader customer base.
When pressed on growth rates for a company founded roughly 25 years ago, Spiliopoulos clarified that "what we're looking at additiv today is quite different to its roots." The company has built a "complete cloud-native orchestration wealth platform" over the last three to four years that has driven very strong double-digit ARR growth, a trajectory expected to continue on a standalone basis.
Integration Approach Reflects Past Learnings
Temenos is taking a measured integration approach, with additiv operating as a largely standalone business with its own product stack, R&D organization and go-to-market for the immediate future. The founder-led team will continue running the business and report directly to Spiliopoulos. He acknowledged the company has "learned some lessons" and will work with additiv post-closing to shape the R&D roadmap to align with Temenos strategic priorities while preserving additiv's successful culture.
Near-term revenue synergies center on five areas: accelerating Temenos's mass affluent proposition across a serviceable addressable market comparable to high net worth and ultra-high net worth segments, cross-selling additiv's wealth orchestration into Temenos's existing client base, expanding additiv's reach into markets where Temenos has strong penetration but additiv does not (including the Americas and parts of Europe, Middle East, Asia Pacific and Latin America), building new complex orchestration journeys across all banking verticals, and developing AI capabilities across additiv's orchestration layer.
Deal Structure and Financial Impact
Temenos is acquiring 100 percent of additiv for an approximately equal mix of cash and equity, with closing expected in early third quarter 2026 subject to customary regulatory approvals. The 50 percent equity consideration reflects selling shareholders' belief in the strategic roadmap and growth potential of the combined entity. Spiliopoulos noted this "gives them exposure to the compelling Temenos growth story and the growth potential for the combined Temenos and additiv group," adding that taking half the consideration in shares "shows a lot about the commitment for them."
The acquisition is marginally accretive to ARR growth and subscription and SaaS growth in 2026 with neutral impact on EBIT, EPS and free cash flow. Pro forma leverage is expected to remain within the target range of 1.0x to 1.5x by year-end. Importantly, Spiliopoulos emphasized there is "no change to our capital allocation framework" and that given 50 percent cash consideration, "there is still capacity for a share buyback also this year." The company will "return to doing regular share buybacks already this year, but especially also next year if there is no additional bolt-on M&A."
Strategic Fit Within AI-Era Tech Stack
The acquisition slots additiv into Temenos's workflow and orchestration layer, complementing existing retail customer journey capabilities in Temenos Digital and Journey Manager with a platform capable of orchestrating more complex customer journeys. The deal is "highly complementary to our existing platform, leveraging the Temenos core banking intelligence and execution layer and accelerates our offering in the AI-driven orchestration layer," according to Spiliopoulos.
Temenos will work with additiv to build new AI agents for specific use cases, leveraging each company's AI expertise to support what Spiliopoulos called Temenos's "structural AI advantage." The platform addresses critical pain points for banks facing margin pressure, regulatory barriers, legacy system constraints and evolving customer expectations for seamless personalized omnichannel experiences often integrated with third-party ecosystem offerings.
The deal represents Temenos's first notable acquisition in some time. When asked whether this signals a shift in M&A appetite, Spiliopoulos was clear: "There is no change to what we have said at the Capital Markets Day." The company wants to "use our capital for the best of Temenos and all its stakeholders" with a framework that prioritizes organic investment while retaining capacity for share buybacks and bolt-on M&A opportunities. This acquisition fits squarely within that disciplined approach while addressing a strategic gap that would have taken significantly longer to build organically.
